("JPW" or the "Company") today announced that it has extended the expiration time for the previously announced consent solicitation (the "Consent Solicitation") from 5:00 p.m., New York City time, on November 16, 2018, to 5:00 p.m., New York City time, on November 20, 2018 (the "Expiration Time"). All other terms and conditions of the Consent Solicitation, as described in the Consent Solicitation Statement (the "Consent Solicitation Statement"), dated November 8, 2018, remain unchanged and in effect.
As previously announced, the proposed amendments (the "Proposed Amendments") to the indenture dated as of September 22, 2017 (the "Indenture") governing the Company's 9.000% Senior Secured Notes due 2024 (the "Notes") would amend the Indenture to, among other things, (i) release the liens and the security interests in the collateral of Tool France S.à r.l., a French société à responsabilité limitée, securing the Notes and the related guarantees and approve all necessary actions to effectuate the release of such liens and security interests and (ii) permit the Company to conduct one or more tack-on offerings to issue additional Notes under the Indenture.
The Company may, subject to applicable law, amend, waive or modify the terms of the Consent Solicitation or further extend the Expiration Time for any reason, or terminate the Consent Solicitation for any reason, in which case the Proposed Amendments would not be adopted and the Company would not be required to make the Consent Payment as described in the Consent Solicitation Statement.
